Replenish & Save Terms & Conditions

The following terms and conditions (referred to as both the "Terms and Conditions" and/or the "Agreement") apply to Replenish & Save ("Replenish & Save"). ULTA.com provides its services to you (the “you”, “your”, or "Customer") subject to this Agreement. Additionally, your use of the Ulta Beauty website ulta.com and all other sites, mobile sites, services, applications, platforms is also governed by our Terms and Conditions and Privacy Policy.

As used in this Agreement, and on the Site, "ulta.com, Ulta Beauty, Site, We, Our" refers to Ulta Salon, Cosmetics & Fragrance, Inc., with headquarters located at 1000 Remington Blvd., Ste. 120, Bolingbrook, IL 60440.

By placing a Replenish & Save order, you accept these Terms and Conditions.

1. Introducing Replenish & Save

Ulta Beauty’s Replenish & Save program open to Ulta Beauty Rewards® members. Ulta Beauty Rewards® membership is governed by the Ulta Beauty Rewards® Terms and Conditions. There is no cost or fee to become a Ulta Beauty Rewards® member.

Replenish & Save is an auto-replenishment subscription program to ensure you never run out of your favorite products.

When you subscribe, you’ll receive: a discount on all eligible Replenish & Save items; free shipping on all Replenish & Save orders; automatic shipments at your chosen frequency; and automatic billing for each Replenish & Save order.

2. Eligible Products

Replenish & Save is available for select products sold by Ulta Beauty on ulta.com or the Ulta Beauty app. A product’s eligibility for Replenish & Save will be displayed on the eligible item’s product page and on the checkout page when eligible products are included.

Third party marketplace items are not eligible for Replenish & Save.

3. Program Limitations

Ulta Beauty reserves the right to accept, decline or cancel any Replenish & Save subscription at our sole discretion. Replenish & Save subscriptions are personal to you and cannot be transferred or assigned. Ulta reserves the right to not ship if limitation is violated. Products purchased through Replenish & Save and any other Replenish & Save program benefits cannot be used to resell to others. Certain promotions cannot be applied to Replenish & Save orders. Please review the specific exclusions or restrictions with each Ulta Beauty coupon or promotion prior to redemption.

Our failure to insist upon or enforce your strict compliance with these Terms and Conditions (including the limitations set forth in this Section) will not constitute a waiver of any of our rights.

4. Auto-Recurring Subscription; Payment; Billing and Credit Card Authorization

REPLENISH & SAVE IS AN AUTO-REPLENISHMENT SUBSCRIPTION PROGRAM, WHICH MEANS THAT YOUR SUBSCRIPTION WILL RENEW AUTOMATICALLY AT YOUR CHOSEN FREQUENCY AND AT THE PRICE IDENTIFIED AT CHECKOUT OR AS OTHERWISE PROVIDED TO YOU IN A SUBSEQUENT NOTICE SHOULD SUCH PRICE CHANGE. YOUR SUBSCRIPTION TO REPLENISH & SAVE WILL CONTINUE UNTIL TO YOU CANCEL. FOR MORE INFORMATION ABOUT HOW TO CANCEL, SEE SECTION 5 BELOW.

By enrolling, you authorize Ulta Beauty to charge the stated price for the eligible products to the selected payment method automatically and on a recurring basis for each scheduled shipment unless and until you change or cancel your subscription as provided herein. Visit the Replenish Manager page to view the last date you can cancel your subscription to prevent being charged for the delivery. All charges include applicable taxes.

Your subscription requires a valid payment method. If none is on file or the current payment method is no longer valid, your orders will be skipped until you update your payment method.

5. Managing & Canceling Your Subscription

Manage your subscription anytime with Replenish Manager in the menu page of your ulta.com account or in the Ulta Beauty app. In the Replenish Manager you can make updates to your delivery schedule, change the product quantity, or cancel your subscription. You’ll receive a shipment reminder email 3 days before order creation with a deadline to make changes. TO CANCEL A SUBSCRIPTION, YOU MUST DO SO BEFORE THE DEADLINE IN YOUR SHIPMENT REMINDER EMAIL. OTHERWISE, THE ORDER WILL AUTOMATICALLY BE PROCESSED AND YOU WILL BE CHARGED.

To cancel or pause your subscription:

A) Go to Replenish Manager in your ulta.com account or the Ulta Beauty app.

B) Select the product you want to cancel and click the link to cancel the subscription. Click Cancel Subscription to confirm. You will receive a confirmation email from Ulta confirming your cancelation was successful.

6. Changes to Replenish & Save

Ulta Beauty reserves the right to modify or change these Terms and Conditions, as well as the benefits, terms, or availability of the Replenish & Save program at any time, in its sole discretion. Updated Terms and Conditions reflecting any changes or modifications will be displayed on the Ulta Beauty website. Any changes will be effective upon display on the Ulta Beauty website. If any change to these Terms and Conditions are found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. CONTINUING YOUR SUBSCRIPTION FOLLOWING CHANGES TO THESE TERMS AND CONDITIONS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. YOU MUST CANCEL YOUR SUBSCRIPTION IF YOU DO NOT ACCEPT THE CHANGES.

7. Returns

Replenish & Save orders adhere to Ulta Beauty’s standard return policy. For details, visit our Return Policy. Replenish & Save subscription orders are void where prohibited.

8. Subscription Termination

Ulta Beauty may suspend or cancel your subscription at any time for any reason. If we suspend or cancel your subscription, you’ll only be charged for orders that have already shipped or are processing.

9. Limitation of Liability

YOU UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT YOUR PARTICIPATION AND USE OF REPLENISH & SAVE SUBSCRIPTION IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PROVIDED UNDER APPLICABLE LAW, ULTA BEAUTY SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST REVENUES OR LOST PROFITS, IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THIS REPLENISH & SAVE SUBSCRIPTION. ULTA BEAUTY’S TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE TOTAL VALUE OF PURCHASES MADE UNDER THE PROGRAM IN THE PREVIOUS TWELVE (12) MONTHS. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR REPLENISH & SAVE SUBSCRIPTION.

10. Governing New York Law and Dispute Forum/Jury Trial Waiver

THIS AGREEMENT SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK, WITHOUT CONSIDERATION OF ITS CONFLICT OF LAW PRINCIPLES AND CUSTOMER, BY ACCEPTING THIS AGREEMENT, CONSENTS AND AGREES TO EXCLUSIVE JURISDICTION IN THE SUPREME COURT FOR THE STATE OF NEW YORK, NEW YORK COUNTY, PROVIDED THAT A PARTY MAY SEEK ENFORCEMENT OF A JUDGMENT OF SUCH COURTS IN ANY COURT OF COMPETENT JURISDICTION. BOTH ULTA BEAUTY AND CUSTOMER WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE BETWEEN THE PARTIES.

11. Severability

If any provision of this Agreement is found to be contrary to law, the remainder of that provision (if any) and the remaining provisions of this Agreement will remain in full force and effect.

12. Entire Agreement

This Agreement shall, as the same may be amended from time to time, constitute the complete and exclusive agreement between Ulta Beauty and Customer with respect to the subject matter hereof. It supersedes and replaces all prior discussions, negotiations, understandings and agreements, written and oral, regarding such matters. Any additional or different terms in any purchase order or other written or oral response by Customer shall be deemed rejected by Ulta Beauty without need of further notice and shall not be part of this Agreement or in any way binding upon Ulta Beauty.
