Ulta Beauty Rewards® Holiday Wishlist Sweepstakes (“Sweepstakes”) is sponsored by Ulta Inc., 1000 Remington Boulevard, Suite 120, Bolingbrook, Illinois 60440 (“Sponsor”).

ENTRY PERIOD:

The Sweepstakes consists of multiple weekly entry periods and drawings. Eligible entries received during a given Weekly Entry Period will be included in the corresponding Weekly Drawing only. Non-winning entries do not roll over to subsequent Weekly Drawings.

The Sweepstakes begins at 8:00 am Central Time (“CT”) on October 31st, 2025 and ends at 11:59 p.m. CT on November 29th, 2025 (the “Sweepstakes Period”).

The Sweepstakes Period consists of the following weekly entry periods (each, a “Weekly Entry Period”):

Entry Period 1: Opens at 8:00 a.m. CT on October 31, 2025, and ends at 11:59 p.m. CT on November 4, 2025

Entry Period 2: Opens at 12:00 a.m. CT on November 5, 2025, and ends at 11:59 p.m. CT on November 10, 2025

Entry Period 3: Opens at 12:00 a.m. CT on November 11, 2025, and ends at 11:59 p.m. CT on November 16, 2025

Entry Period 4: Opens at 12:00 a.m. CT on November 17, 2025, and ends at 11:59 p.m. CT on November 22, 2025

Entry Period 5: Opens at 12:00 a.m. CT on November 23, 2025, and ends at 11:59 p.m. CT on November 29, 2025

Entries must be received during the applicable Weekly Entry Period to be eligible for that week’s drawing. Non-winning entries from a Weekly Entry Period do not carry over into subsequent Weekly Entry Periods. Each entrant is eligible to win a maximum of one (1) prize during the entire Sweepstakes Period. If an entrant is selected as a potential winner in a subsequent week after having previously won, an alternate winner will be selected. Entries will not be acknowledged or returned.

TO ENTER:

During each Weekly Entry Period, eligible individuals may enter the Sweepstakes via the two (2) methods described below, with a limit of one (1) entry per method per Weekly Entry Period (maximum of two (2) entries per person per Weekly Entry Period: one (1) Instagram entry and one (1) community entry).

• Method 1 — Instagram: During a Weekly Entry Period:

(i) Follow @ultabeauty on Instagram;

(ii) Create a qualifying Holiday Wishlist in the Ulta app or on Ulta.com/accounts/wishlist by clicking the “heart” next to products on the Ulta app or website ;

(iii) Post a video on Instagram in-feed or via Instagram reel using the hashtag #UltaHolidaySweepstakes showing your Holiday Wishlist, which products you added and why.

Please note that posts to Instagram stories do not qualify. Your Instagram account must be set to “public” to enter.

Creating multiple Instagram accounts to enter is prohibited. Platform terms apply.

• Method 2 — Ulta Beauty Community Entry: During a Weekly Entry Period:

(i) Visit ulta.com/community/groups and “Join” the Member Perks Playbook group.

(ii) Create a qualifying Holiday Wishlist in the Ulta app or on Ulta.com/accounts/wishlist by clicking the “heart” next to products on the Ulta app or website;

(iii) Post a video using the hashtag #UltaHolidaySweepstakes showing your Holiday Wishlist, which products you added and why.

You must be signed in to your Ulta account in order to post on Ulta Beauty Community. There is no cost or fee to become a Ulta Beauty Rewards® member.

Alternate Method of Entry (“AMOE”): If an eligible individual does not have an Instagram account or does not wish to post on Instagram or Ulta Beauty Community, such eligible individual may also simply email their full name, Ulta Beauty Rewards® membership email or phone number to sweepstakes@ulta.com during a Weekly Entry Period. Such email submission must include in the subject line (a) “Ulta Beauty Rewards Holiday Wishlist Sweepstakes Entry” and (b) the eligible individual’s full name, Ulta Beauty Rewards® membership email or phone number. An eligible individual submitting an AMOE will only be asked for their Holiday Wishlist and mailing address if they are selected as a Potential Winner.

A maximum of two (2) entries per person is allowed during each Weekly Entry Period, regardless of email address and/or social media account. Multiple entries or an entry that does not follow the instructions, may be disqualified at Sponsor’s sole discretion.

HOLIDAY WISHLIST

A “Holiday Wishlist” must consist of qualifying products in the Ulta app or on Ulta.com. The Holiday Wishlist cannot include gift cards or UB Marketplace™ Products. A UB Marketplace™ Product will be marked with a “UB Marketplace™” badge on the product page.

Entrants may not use the same Holiday Wishlist to enter each Weekly Entry Period; creating a new Holiday Wishlist is required for each Weekly Entry Period.

NUMBER OF POTENTIAL WINNERS:

On or about one (1) business day after the close of the applicable Weekly Entry Period, Sponsor will conduct a random drawing from among all eligible entries received during the applicable Weekly Entry Period to select one (1) potential winner for that week (each, a “Potential Weekly Winner”).

There will be a total of five (5) potential winners (each, a “Potential Winner”) for the entire Sweepstakes Period.

PRIZE(S) & APPROXIMATE RETAIL VALUE (“ARV”):

Each winner will receive the items listed on their submitted Holiday Wishlist (the “Prize”), not to exceed $1,000.00 USD. Total ARV of all prizes available during the Sweepstakes, not to exceed $5,000.00 USD.

Ulta Beauty Gift Cards and Ulta Beauty Marketplace™ Products are excluded and will not be awarded. The ARV of the Prize will vary depending on the contents of the winner’s Holiday Wishlist but will not exceed $1,000.00 USD. The Prize is non-transferable and may not be substituted, except that Sponsor reserves the right to substitute a prize of equal or greater value if any item on a Holiday Wishlist becomes unavailable.

ELIGIBILITY:

The Sweepstakes is open only to legal residents of the United States who are eighteen (18) years or older and an Ulta Beauty Rewards® member at the time of entry. Ulta Beauty Rewards® membership is governed by the Ulta Beauty Rewards® terms and conditions, available at ulta.com/rewards/terms-and-conditions. There is no cost or fee to become a Ulta Beauty Rewards® member.

Employees, officers, directors, members, managers, agents, and representatives of Sponsor or its parent and subsidiary companies, affiliates, divisions, franchisees, representatives, consultants, sub-contractors, suppliers, distributors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies (collectively the “Released Parties”) and members of their immediate families (spouse, partner, parents, legal guardians, in-law, grandparent, children, siblings, and grandchildren, and each of their respective spouses) and individuals living in the same household (whether related or not) as such individuals, are not eligible to participate.

WINNER’S LIST/OFFICIAL RULES:

A copy of these Official Rules and winners list are available by sending a self-addressed, stamped envelope with sufficient return postage indicating “Official Rules” and/or “Who Won?” to Ulta Beauty Rewards® Holiday Wishlist Sweepstakes, c/o Ulta Beauty, Inc., 1000 Remington Boulevard, Suite 120, Bolingbrook, Illinois 60440. Requests must be received no later than three (3) months after the close of the Sweepstakes Period. Vermont and Washington residents may omit return postage for Official Rules requests. A copy of the winner’s list will also be available on the website.

GENERAL TERMS:

ENTRY: By entering, entrants represent and warrant that their entry (and each element thereof) complies with these Official Rules. An entry is earned when Sponsor records receipt of a completed entry with all required information. Entries will be accepted or determined ineligible by Sponsor in its sole discretion. The intellectual rights to the entry, if any, will remain with the entrant, except that these Official Rules do not supersede any other assignment or grant of rights according to any other separate agreements between entrants and other parties, including but not limited to social media platforms. Sponsor’s clock is the official timekeeper for this Sweepstakes. Those who do not provide the correct information in their entry or abide by these Official Rules and other instructions of Sponsor and its representatives may be disqualified and all associated entries void.

ENTRY REQUIREMENTS: Each entry must also comply with the following:

(a) Each entry must meet the technical and content requirements of the applicable platform.

(b) Entries that feature, mention, refer or otherwise allude to the name, logo or trademark of any entity, third party individual, product or brand other than that week’s participating vendors (if applicable), may not be submitted, and may be disqualified at any time in Sponsor’s sole and unfettered discretion.

(c) Any entry that fails to meet the Sponsor’s specifications may be disqualified at any time in Sponsor’s sole and unfettered discretion.

(d) Each entry must be entrants own original work, created solely by entrant, and must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity.

(e) Entries that are lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, obscene, non-family-friendly, and/or entries that otherwise contain inappropriate content or objectionable material may not be submitted and may be disqualified at any time in Sponsor’s sole and unfettered discretion.

(f) Entries that contain any viruses, spyware, malware or other malicious components that are designed to harm the functionality of a computer in any way may not be submitted and may be disqualified at any time in Sponsor’s sole and unfettered discretion.

(g) Entries must not contain any images or personally identifiable information of any person other than entrant, and should entrant include personally identifiable information about themselves in the entry, entrant acknowledges and agrees that such information will be disclosed publicly, and entrant is solely responsible for any consequences thereof.

(h) Entrant may not be, nor may entrant work with parties in conjunction with entries hereunder who are: (1) represented under contract (e.g., by a talent agent or manager) that would limit or impair Sponsor’s ability to display the entry in any media form; or (2) under any other contractual relationship, including but not limited to guild and/or union memberships, that may prevent Sponsor from being able to use the entry worldwide in all media in perpetuity on a royalty-free basis, without any payment or fee obligations.

(i) Purported entries that are forged, altered, incomplete, late, lost, inaccurate, misdirected, mutilated, illegitimate, incomprehensible, or garbled, including without limitation by human error, or generated by a macro, bot, or other automated means are invalid. Entries or participation on behalf of any entrant by any other individual, entity or group, or web site or online service, including, without limitation, through commercial promotion subscription notification or entering services, are invalid.

PRIVACY: As a condition of entering the Sweepstakes, each entrant consents to receive communications from Sponsor and its agents for the purpose of administering this Sweepstakes. When providing your email address, you may opt in to receive marketing emails from Sponsor, however you may unsubscribe at any time by following the “unsubscribe” link and instructions in any email, and doing so will not affect your entry into the Sweepstakes. Except as provided herein, personal information collected in connection with this Sweepstakes is governed by Sponsor's privacy policy at https://www.ulta.com/company/privacy.

INTELLECTUAL PROPERTY: As a condition of entry, entrant agrees that Sponsor shall have the right to use, copy, modify and make available the entry in connection with the operation, conduct, administration, and advertising and promotion of the Sweepstakes and of Sponsor via communication to the public, including, but not limited to the right to re-post, make screenshots, animations, and video clips available to the public for promotional and publicity purposes. Furthermore, and except where prohibited by law, winner grants the Released Parties the irrevocable, sublicensable, perpetual right and permission to use, publish, post or display winner’s name, photograph, likeness, voice, prize information, biographical information, any quotes attributable to winner, if true, and any information or content provided in the entry (together, "Likeness") (which may be altered, used alone, or used with other material) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind, in any medium now known or hereafter discovered or devised, world-wide, and without notice, review, or approval. Winner releases all Released Parties from any and all liability related to such use of the Likeness. Nothing contained in these Official Rules obligates Sponsor and/or the Released Parties to use any Likeness and winner waives any right to inspect or approve any such use.

NAMES, LOGOS AND OTHER MATERIALS ARE USED FOR PURPOSES OF SWEEPSTAKES AND/OR PRIZE DESCRIPTION ONLY. ALL TRADEMARKS, SERVICE MARKS, TRADE NAMES, TRADE DRESS, PRODUCT NAMES AND LOGOS APPEARING IN THE SWEEPSTAKES ARE THE PROPERTY OF THEIR RESPECTIVE OWNERS; USE DOES NOT IMPLY AFFILIATION OR ENDORSEMENT BY THE INTELLECTUAL PROPERTY OWNERS.

WINNER SELECTION/NOTIFICATION: For each Weekly Entry Period, one (1) Potential Weekly Winner will be selected in a random drawing each week from all eligible entries received to date. Non-winning entries will not roll over into subsequent weekly drawings. Additionally, entrants may not use the same Holiday Wishlist to enter each Weekly Entry Period; creating a new Holiday Wishlist video is required for each Weekly Entry Period. Once an entrant has been selected as a potential winner, such entrant will not be eligible for selection in any subsequent weekly drawings.

Within approximately one (1) business day after the close of the applicable Weekly Entry Period, Sponsor or its designee will attempt to notify the Potential Weekly Winner via Instagram direct message from @ultabeauty or by email. If any prize, prize notification, or Sweepstakes-related communication is rejected, faulty, or undeliverable; if any Potential Winner does not respond within one (1) business day according to the notifications or Sponsor’s instructions; or if any Potential Winner fails to comply with these Official Rules, the prize may be forfeited and an alternate Potential Winner may be selected as provided herein. As a condition of being awarded the Prize, each Potential Winner may be required to complete, sign, notarize (if applicable), and return an affidavit or declaration of eligibility and liability/publicity release to Sponsor within five (5) business days from the date on Sponsor's communication sending the documents. Any failure to timely return the signed and notarized (if applicable) affidavit may result in Prize forfeiture and an alternate Potential Winner will be selected as provided herein. If a confirmed winner is unable or fails to use the prize or portion thereof, no compensation will be given, and Sponsor will have no responsibility or liability to winner. All items on a Potential Winner’s Holiday Wishlist are subject to availability at time of fulfillment; if an item becomes unavailable, Sponsor reserves the right to replace with an item of equal or greater value. The Holiday Wishlist cannot include gift cards or UB Marketplace™ Products. A UB Marketplace™ Product will be marked with a “UB Marketplace™” badge on the product page. If the Holiday Wishlist includes excluded items, such excluded items will be omitted from the Prize and will not be replaced with alternate items or cash. Winner may not substitute, exchange, or receive cash value in lieu of any Holiday Wishlist items, except at Sponsor’s sole discretion. If the total value of a Potential Winner’s eligible Holiday Wishlist items is less than $1,000, no additional items, substitutions, or cash will be provided to reach the maximum value. If the total value of a Potential Winner’s eligible Holiday Wishlist items is greater than $1,000, the Potential Winner will have the ability to select which items from their Holiday Wishlist they would like to include (up to the maximum value and subject to product availability). Decisions of Sponsor are final and binding on all matters relating to the Sweepstakes.

PRIZE DELIVERY: Prize or prize elements will be mailed to winner’s postal address as provided to Sponsor in winner confirmation at Sponsor’s expense.

PRIZE & ODDS: Prizes will be awarded in accordance with these Official Rules. Redemption is subject to availability. Odds of winning depend on the number of eligible entries received. All taxes (federal, state, and local) based on income to winner, as well as any expenses, costs or charges of any kind not specified in these Official Rules as being provided as part of the prize, are the sole responsibility of winner. IRS Form 1099-MISC may be issued. Released Parties are not responsible for, and winner will not receive the difference between the actual value of the prize at the time of redemption and the stated ARV in these Official Rules or in any promotion-related materials related to the Sweepstakes.

Sponsor is not responsible for and will not replace any lost, mutilated, or stolen prize. If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the prize. No prize substitutions or cash redemptions will be made; however, Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value. No more than one prize as stated will be awarded. Winner waives the right to assert, as a cost of winning the prize or on any other basis, that Sponsor owes or must pay any costs of verification, redemption or travel to claim the prize and any liability and publicity which might arise. Sponsor is not liable for any missed prize events, opportunities or expenses incurred as a consequence of transportation cancellation/delay.

ALL PRIZES ARE AWARDED “AS IS” AND THE SPONSOR DOES NOT MAKE (AND IS NOT RESPONSIBLE FOR) ANY REPRESENTATIONS, GUARANTEES, OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATING TO ANY PRIZE (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE), AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED.

LIMITATION OF LIABILITY: EACH ENTRANT AGREES TO RELEASE, DISCHARGE, HOLD HARMLESS AND INDEMNIFY EACH OF THE RELEASED PARTIES, AND META PLATFORMS, INC. FROM AND AGAINST ANY CLAIMS, DAMAGES, DISABILITY, ATTORNEYS' FEES, AND COSTS OF LITIGATION AND SETTLEMENT, AS WELL AS ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH PARTICIPATING IN THIS SWEEPSTAKES OR THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF THE PRIZE, WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY PRIZE-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY. WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WINNER AGREES THAT THE RELEASED PARTIES AND META PLATFORMS, INC. ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING.

ADDITIONAL DISCLAIMERS: The prize will be awarded to the holder of the email address or owner of the social media account, as applicable, used in the entry. In the event of a dispute as to the identity of an entrant, entry will be deemed made by the registered account holder of the email address or social media account, as applicable, used at the time of entry, but only if that person otherwise meets the eligibility criteria in these Official Rules.

Released Parties are not responsible and/or liable for any errors, problems or configuration of or relating to any Sweepstakes-related correspondence or materials which may limit a person’s ability to participate in this Sweepstakes or receive communication from Sponsor. Released Parties are not responsible for any communications that are undeliverable or do not reach entrant as a result of any form of filtering or insufficient space in entrant’s email or social media account.

Released Parties are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the prize or any part thereof in the event that any of the Sweepstakes activities or Released Parties’ operations or activities are affected by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, pandemic, quarantine, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state or local government authority, or any other cause, whether or not specifically mentioned above. 

All entrants, as a condition of entry, agree to be bound by these Official Rules and the decisions of Sponsor. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right to restrict or void entries or participation from any IP address or other source if any suspicious entry and/or participation is detected. Sponsor reserves the right to void entries of any entrants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness, or proper play of this Sweepstakes. If Sponsor determines, at any time and in its sole discretion, that an entrant, Potential Winner or winner is ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems inappropriate or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to take appropriate action in its sole discretion and will have no responsibility or liability to that entrant, Potential Winner or winner, even if the Potential Winner may have been notified or the winner announced.

Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and/or these Official Rules (including any alleged discrepancy or inconsistency within these Official Rules), it will be resolved by Sponsor in its sole discretion. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If the Sweepstakes is not capable of running as planned for any reason, Sponsor reserves the right to cancel, modify or suspend the Sweepstakes and award the prize from eligible entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Sponsor. If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain the prize, Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law. 

DISPUTES/GOVERNING LAW: Except where prohibited, as a condition of participating in this Sweepstakes, each entrant agrees that all disputes that cannot be resolved between the entrant and any Released Party, claims and causes of action arising out of or in connection with this Sweepstakes, or the prize awarded, or the determination of winner must be resolved individually, without resort to any form of class action. Under no circumstances will any person be permitted or entitled to obtain awards for punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than actual out-of-pocket expenses (if any), not to exceed ten U.S. dollars ($10 USD), and entrant further waives all rights to have damages multiplied or increased.

This Sweepstakes and any dispute arising under or related thereto (whether for breach of contract, tortious conduct, or otherwise) will be governed by the laws of the State of Illinois, without reference to its conflicts of law principles. Any legal actions, suits or proceedings related to this Sweepstakes will be brought exclusively in the state or federal courts located in Illinois, and each entrant accepts and submits to the personal jurisdiction of these Illinois courts with respect to any legal actions, suits or proceedings arising out of or related to this Sweepstakes.
